Terms of Service — Uttrix

Short version: Uttrix provides AI voice and WhatsApp agents that answer, qualify and book on your behalf. You bring your business, your scripts and your customer contacts; we provide the agents, the integrations and the reporting. You own your data; we own what we built. You can cancel any time. Liability caps at fees paid in the prior 12 months.

By creating a Uttrix account or using the service, you agree to these Terms and the Privacy Policy. If signing for an organisation, you confirm authority to bind it.

Section 1

Acceptable use

Use Uttrix to handle your own customer conversations. You must not:

✕Make unsolicited bulk calls or messages, or contact anyone who has not consented or has opted out.

✕Ignore TRAI / DND rules, WhatsApp Business Platform policies, or the telemarketing and consumer laws of any country you call into — you are the sender, and the legal obligation is yours.

✕Record a call where the law requires consent you have not obtained.

✕Impersonate a person or organisation, or misrepresent that the caller is human when asked directly.

✕Use the service for fraud, harassment, spam, defamation, or anything unlawful.

✕Scrape, reverse-engineer, or attempt to break into the service.

✕Resell or sublicence Uttrix without a written reseller agreement.

✕Exceed published rate limits without prior approval.

Violations may result in suspension. Repeat or severe breaches end the contract immediately and without refund.

Section 2

Your data & IP

Everything you configure or generate inside Uttrix — scripts, prompts, call recordings, transcripts, exports, and the contact details you upload — is your data. You grant us a limited licence to host and process it solely to provide the service. That licence ends when you delete your data or close your account.

You confirm you have the right to share those contacts with us, and the consent required to call, message and record the people they belong to.

We will never train AI models (ours or anyone else's) on your data, and we do not read or listen to your conversations unless you open a support ticket requiring it.

Uttrix — the code, dashboards, methodology, brand, and mark — remains the property of FNA Technology LLP. You receive a limited, revocable licence to use the service while your subscription is active.

Section 3

Billing

Pricing

As shown on the pricing page, in GBP, exclusive of applicable taxes. There is no free trial.

Billing cycle

Monthly subscription, billed in advance, auto-renewing on the same date each month.

Payment

Collected by Razorpay against the recurring card authorisation you give at signup. You are notified before each debit.

Overage

AI calling minutes used beyond your plan's included monthly limit are charged at £0.25 per additional minute, billed in arrears.

Cancellation

Any time, from the dashboard or by email. Service runs to the end of the paid period.

Refunds

Full refund within 7 days of your first payment. After that, as set out in the Refund & Cancellation Policy.

Failed payment

Retried, then the service is suspended after 7 days' non-payment, with notice.

Price changes

30 days' notice. Your current price holds until the next renewal after that notice.

Pass-through costs

Carrier and WhatsApp Business Platform charges are billed at cost and itemised separately, never bundled into the subscription.

Section 4

Liability

Liability cap: Each party's aggregate liability is limited to fees paid in the prior 12 months. No indirect, consequential, or punitive damages — regardless of theory.

Exceptions: payment obligations, IP or confidentiality breaches, and liability that cannot be limited by law (gross negligence, wilful misconduct).

Section 5

Termination

By you

Cancel any time. The service runs to the end of the period you have paid for.

By us, for cause

Immediate termination on material breach uncured after 30 days, or on any acceptable-use violation.

After termination

Export your data within 30 days. After that it's deleted, except what we're legally required to retain.

These Terms are governed by the laws of India. The courts at Mumbai, Maharashtra have exclusive jurisdiction, after 30 days of good-faith discussion.
